Terms & Conditions
By registering for an account with WhiteLabelFlatshare.co.uk, you enter into a contract with WhiteLabelFlatshare.co.uk (Part of E-Commercial Enterprises LTD) on the following conditions, which includes conditions limiting our liability and relating to our use of your personal information. This contract is just for the use of our website and separate to any arrangement you may have with any other organisation for providing internet services.
Definitions
The following words marked in bold will have specific meanings in this contract.
'cancel' - Cancelling your account means this contract ends. Your account and all data (excluding details of any payments made) will be deleted and will no longer work as part of a website.
'partner' - You are a partner, you could be an individual or a business.
'account' - This is the account you create when you sign up to the WhiteLabelFlatshare.co.uk site.
'member' - A member is someone who creates an account on the white label flatshare site you create.
'personal data' - Any information about an identifiable living person (for example, your name, address or phone number).
'we', 'us', 'our' - WhiteLabelFlatshare.co.uk (Part of E-Commercial Enterprises LTD)
'you', 'your' - The person or company who is entering into this contract with us and who the account will be registered to.
'service' - this is the WhiteLabelFlatshare.co.uk web site and websites / services hosted by us.
'website' - your website (homepage) hosted away from the WhiteLabelFlatshare.co.uk system.
1. Terms of the agreement
The terms outlined in this agreement will start as soon as you create an account on the WhiteLabelFlatshare.co.uk website. This agreement can be terminated by either party at any time, with or without cause.
To terminate your account you will need to provide us with 30 days written notice, this can be submitted via email or post. The 30 day notice period is to give us time to inform your users that the site is closing and to migrate the users to another site. We reserve the right to terminate your account without notice if we believe you have acted against the terms laid out in this agreement.
Partners will only be paid commissions on sales completed while their account is active (subject to any deductions, taxes, refunds, chargebacks) and only if their account has not been cancelled.
This agreement does not create any form of partnership, joint venture, agency, franchise or employment relationship of any kind.
We reserve the right to make any amendments or terminate this agreement at any time with or without notice.
1.1. Our responsibilities (what we will do)
WhiteLabelFlatshare.co.uk aims to provide you with the tools you need to create your own white label flatshare site. Below is a list of what you can expect us to provide.
- Tools to create and customise your own flatshare site
- Payment processing when members upgrade
- Supply customer support for you and your members
- Commission payments on time
- Fraud support / monitoring
- Security for your sites from McAfee & Thawte
- Moderation of all site content
1.2. Your responsibilities
It is your full responsibility to market your white label flatshare site(s) in a legal, ethical and honest fashion.
When you become a WhiteLabelFlatshare.co.uk partner you are then responsible for your site(s) and the way in which you conduct business in regards to those site(s). Below is an outline of the responsibilities you are taking on by creating a white label flatshare site.
- You will not take part or promote any illegal activities on your site(s)
- No spamy or aggressive promotion of your site(s)
- You will make no false promises when promoting your site(s)
- You will add no sexually explicit content to your site(s)
- You will promote your site in a legal and ethnical way
2. Commissions
The white label flatshare sites you create will receive a commission each time a member upgrades to a premium membership. This section of the agreement will outline how the commissions are tracked and when and how they will be paid.
We reserve the right to make any changes to your commission structure at anytime with or without notice.
2.1. Tracking
Signups and payments made by members to the WhiteLabelFlatshare.co.uk network are tracked using our own software. When a member upgrades we will log this against the relevant partners account. Commissions will be paid to the partner of the site on which a member upgrades.
We only track information related to payments on the accounts and number of signups. We don't track visitors to your site(s), if you require this information then you need to sign up for a Google analytics account and enter your analytics account number against your relevant site(s).
2.2. Reporting
If you need to review the number of your members that have upgraded their account and the commission due you can do so from the reports section of your admin system.
We will be adding new reports to give you as much detailed information on the performance of your sites as possible. Don't forget we only reports on upgrade information and general website stats need to be gathered by your Google analytics account.
2.3. Payment of commission
Each time a member upgrade to premium membership via your white label flatshare site you will receive a commission of 30%. We reserve the right to offer a higher percentage commission where we deem appropriate.
Payments are only made once the minimum threshold has been reached (see section 2.3.2). If your commission is below this level then it will be rolled over to the next month until this figure is met.
Payments are made once a month. The first payment will be made 3 months after you reach the payment threshold and monthly thereafter.
Payments can be made via PayPal or bank transfer, so please ensure you select your preferred method of payment in your account and enter the correct payment details. Failure to do so will result in the delay of payment.
2.3.1. Probationary period
A three month probationary period is put in place to make sure no partner incurs excessive chargebacks on their account, putting their account in a negative balance.
2.3.2. Payment Threshold
The payment threshold for all partners is £100, payments won't be made until the account has reached this amount. If your total commission (less taxes, chargebacks and refunds) is less than £100 then it will roll over to the next month. Once the commission exceeds the threshold then it will be flagged for payment.
2.3.3. Self Billing
In order to get paid your commission you must agree to self billing. Self billing means that WhiteLabelFlatshare.co.uk will generate an invoice from yourselves to us. A copy of this invoice will be available for you to download from your control panel. By accepting these terms and conditions you are automatically agreeing to self billing.
2.3.4. Payment Schedule
Bank transfers and paypal transfers are made on the 1st of each month for the previous month(s) commissions. Please allow normal time for the bank transfers to reach you, some payments will be instant, however sometimes there is a few days delay with some banks.
For when commissions are eligible for payment please refer to the payment threshold point, see point 2.3.2 above.
3. Disputes
WhiteLabelFlatshare.co.uk takes all disputes and complaints seriously. We will do our best to handle most member disputes and complaints. We will try to solve any disputes or disagreements with members and partners as quickly and efficiently as possible.
This section of the agreement will outline what we will and will not deal with.
3.1. Partner disputes
If you have a dispute with WhiteLabelFlatshare.co.uk then we recommend that you get in touch with us as soon as possible using the contact details at the bottom of this agreement. We take all complaints very seriously and will deal with the matter urgently.
This agreement will be governed by the laws of the United Kingdom. Therefore if you are not happy with the way we deal with your dispute and you decide to take court proceedings you must do so within the United Kingdom. We also limit any liability arising with respect to this agreement to not exceed the commission outstanding to you under this agreement.
You shall indemnify and hold us harmless from any legal actions, damages or liabilities incurred from the day to day operations of your white label flatshare site(s). Under no circumstances will we be liable for damages for (but not limited to):
- Loss of earnings, revenue or profit
- Business interruption
- Loss of business information or data
- Loss of goodwill
- Hardware of software failures
You agree that we will be held harmless from any and all of your actions, including but not limited to your promotion of the WhiteLabelFlatshare.co.uk service and your white label flatshare sites.
Should any action or legal proceedings be bought against us as a result of any action or activity by you as our partner, you agree to bear all costs and penalties associated with said action, but not limited to our legal costs for any alleged infraction of these laws.
3.2. Member disputes
We will handle any disputes or complaints that arise from your members using a website on the WhiteLabelFlatshare.co.uk network. All disputes are investigated to the maximum of our powers. If any disputes fall outside of our remit we recommend the member handles the dispute independently with assistance from the police if required.
We will not handle any complaints or disputes from members that arise from any actions taken by you.
In the unlikely event that a claim or any action is taken against us as a result of your activities, use of our service or your website, you agree to pay any and all related costs and defend us against the claim or action.
4. Account Suspension and Termination
Partners can terminate their account at any time for any reason, and will be paid commissions on sales completed while their account was active (subject to any deductions, taxes, refunds or chargebacks). If we cancel your account due to fraudulent activity (proven or otherwise) then all commissions will be voided.
If we cancel your account 'without cause' then all outstanding commissions earned while under contract will be paid in full as normal.
We will suspend your account if you are suspected of any of the following activities.
4.1. The use of unsolicited emails (Spam)
ALL partners are strictly prohibited from sending any SPAM or UCE (Unsolicited Commercial Email) to promote their white label flatshare site(s). You can promote your site via email to your existing customer database if this falls within the agreement(s) or terms and conditions you hold with them. WhiteLabelFlatshare.co.uk takes spamming very seriously and failure to abide by this rule will result in the termination of your account, and the forfeiture of any outstanding commissions due to you.
4.2. You imply in your content that statements are endorsed by us
You must not make claims or statements in the content on your white label flatshare site which you imply or state has been endorsed by us.
This point also applies to any content you publish away from your white label flatshare site, which includes but is not limited to; your off site homepage, other sites owned by you or your company, public web sites, press releases, emails and any printed material.
4.3. Post offensive or illegal content
You must not post any offensive or illegal content on your white label flatshare site or on any other sites or publications related to your white label flatshare site. This includes but is not restricted or limited to; racism, bigotry, hatred towards any group or individual, information about illegal activities, swear words, discrimination or harassment.
4.4. Display pornographic or sexually explicit material
You must not display any sexually explicit material on your site, this also includes any content that is suggestive of sexually explicit material. This includes but is not limited to pornographic images, videos, sound clips, sexually explicit language, adverts or links to sexually explicit sites or affiliates.
We moderate all of the content added to your site by your members and will remove any offensive content including descriptions, photos and videos. However, we would advise you to let us know of any offensive material posted by your members if you notice it.
4.5. Try to solicit passwords or personal information from members
If you are creating your own custom homepage on your own server you must only use the search and login links / plug-ins provided by us. If you create your own or try to use your own pages / emails to solicit login information or any personal details from members of the site you will have your account terminated and all related information will be passed over to the police.
4.6. Provide us with false information
If we receive independent proof, or suspect that you have provided significantly inaccurate, not correct, unreliable or false information on your account, then your account may be suspended.
4.7. Break any part of this agreement
If you break any part of this agreement then your account will be terminated and further action taken if necessary.
4.8. Your account is being used fraudulently
If we suspect that your account is being used fraudulently we will terminate the account and block you from using our site again.
4.9 Accounts underperforming
We also reserve the right to cancel any account which we deem to be underperforming. Underperforming could include (but is not limited to):
- Not enough traffic
- Not enough signups
- Not enough member upgrades
We will give members 30 days notice and will endeavour to help all partners move their accounts over to one of our affiliate based systems instead.
5. Privacy
We will not make your personal data available to any third parties. For more information please see our privacy policy.
6. Limitation of liability
Your use of this website and service, including the operation of the resulting white label flatshare sites and your promotion of your sites (including paid promotion) is taken on entirely at your own risk.
We do not accept any liability of any sort for the provision of your telecommunications service, or for any faults on their networks or equipment. This includes but is not limited to your phone line, internet connection, computer hardware and software.
7. Trademarks & Proprietary Information
All proprietary information, copyrighted information and trademarks contained within the service and in the resulting websites must not be modified, posted, distributed or reproduced in any way.
If you wish to use any of the information or trademarks contained within the sites or service then you must receive written permission of the owner of such information.
All copyrighted material and trademarked names and logos used in accordance with this Agreement by either or both parties remain the exclusive intellectual property of the respective originating or issuing party. No transference of intellectual property ownership or conveyance of rights is intended or conferred in this Agreement.
You shall not issue or cause to be issued any news or press releases that use any of the WhiteLabelFlatshare.co.uk Trademarks without prior consent from us.
8. Intellectual property rights
WhiteLabelFlatshare.co.uk will retain intellectual property rights of all the data, information, code and software related to our service. This includes but is not limited to the customers, adverts placed and uploaded images.
You will retain copyright of any of your own information that you upload, however by uploading your logos onto the WhiteLabelFlatshare.co.uk service you grant us permission to use them in our publicity.
9. Disclaimers
We do our very best to make sure the service we provide is a complete and fully working solution. However our services are provided as-is, we cannot make any guarantees or promises of results from the use of this service (or for the sites produced from our service). We offer no warranties or guarantees for the service and as a result you are using it at your own risk. We will operate the service and the website with full due care and attention. Please use common sense when using our service and when using and promoting your own white label flatshare sites.
We cannot be held liable for the actions of you (our partners) or our members.
The internet is constantly changing and developing. As a result of this, we reserve the right to make reasonable changes to the terms of this contract at any time during the term of the contract. We will only do so when we have good reason. You should visit our website regularly to find out about any changes.
